PLI’s Doing Deals 2024: The Art of M&A Transactional Practice

Morris Nichols corporate counseling partner Melissa DiVincenzo will speak at the Practising Law Institute’s full-day program on “The Art of M&A Transactional Practice” on February 28, 2024. The event will center on developments in deal making, including transaction structures, mergers and tender offers, cross-border considerations, pre-deal documents, definitive agreements, activist campaigns, , and developments in Delaware M&A jurisprudence.

 Melissa will speak on the panel, “The Art of Deal Structuring.” Discussion topics include:

• Choosing a structure (merger, stock purchase, asset sale)
• Understanding the tender offer – benefits and traps for the unwary
• Knowing the dos and don’ts when doing a cross-border M&A deal
