PLI’s Delaware Law Developments 2025: What All Business Lawyers Need to Know
The Practising Law Institute presents its annual program on significant Delaware corporate law developments from the past year on April 30, 2025. Featuring insights from Delaware law practitioners in the judiciary, leading law firms, and corporations, this day-long program focuses case law issues and trends relevant to corporate/securities law professionals.
Morris Nichols partners Tarik Haskins and Susan Waesco serve as program faculty.
Susan speaks at the morning session, “Fiduciary Duties of Large Stockholders and Controller Liability Considerations,” with panel leader Vice Chancellor Morgan T. Zurn. Panelists will discuss fiduciary duty issues involving large stockholders, including recent cases assessing potential corporation control, and related liability issues for controllers.
In the afternoon, Tarik Haskins speaks on the “Transaction Planning and M&A Disputes” panel. This session explores practice developments following amendments to the Delaware General Corporation Law (DGCL) and alternative entity statutes, third-party beneficiary provisions, earn-outs and post-closing adjustments, and stockholder activism.
