PLI: Doing Deals 2025: The Art of M&A Transactional Practice
On February 26, the Practising Law Institute hosts a full-day program on “The Art of M&A Transactional Practice.” The program features a practical overview of key issues that arise in the most common types of corporate transactions.
In the first session of the day, Morris Nichols corporate counseling partner Melissa DiVincenzo co-presents, “The Art of Deal Structuring.” Every deal starts with a question about structuring. Panelists will discuss approaches to:
- Choose a structure (merger, stock purchase, asset sale)
- Understand the tender offer – benefits and traps for the unwary
- Know the dos and don’ts when doing a cross-border M&A deal
