Alternative entity attorneys Lou Hering and Jason Russell contributed a Practice Note on Delaware Series LLCs to Practical Law.

In 1996, Delaware became the first state to permit the formation of limited liability companies (LLCs) that have multiple series with separate members, managers, LLC interests or assets (Series LLCs). Series LLCs have recently started gaining popularity, and today may be formed in at least eight other states. The article provides an overview of Series LLCs, highlighting the pros and cons of using this unique form of entity.
