PLI Delaware Law Developments 2023: What All Business Lawyers Need to Know
Delaware law continues to play a critical role in US corporate and securities law. On May 1, 2023, the Practising Law Institute hosts its annual program focused on Delaware law developments. Featuring insights from leading Delaware corporate law practitioners from the judiciary, law firms, corporations, and academia, this full-day program examines the latest case law and practical trends relevant to the corporate/securities legal community.

In the morning, Susan will speak in the session, “Controlling Stockholder Litigation Update.” Discussion topics include entire fairness, MFW developments, and SPAC merger litigation.
In the afternoon, Tarik Haskins speaks in the “Transactional Panel.” Panelists will cover topics such as recent amendments to the DGCL and alternative entity statutes, stockholder votes and proxy disclosure requirements, XRI/Holifield – void/voidable transactions in contractual entities, the use of legal opinions post-Boardwalk, and control disputes.
