2021 ABA Business Law Virtual Section Annual Meeting
The American Bar Association hosts the Business Law Section virtual annual meeting from September 22-24, 2021. Four Morris Nichols partners will attend the conference as committee leaders and speakers, sharing insights on Delaware corporate law and VC/PE developments.
On Wednesday, Dan Matthews will join a panel presentation on “Partial Liquidity Transactions” as part of the main Private Equity and Venture Capital Committee (PEVC) meeting. The session will cover “partial liquidity” prior to a true change of control of a company, discussing types of transactions offering partial liquidity before a true sale of the company, tender offers specifically, tax and potential accounting issues related to partial liquidity (including tender offer), and fiduciary duties and other Delaware law concerns with these types of transactions.
In the afternoon Wednesday, Patricia Vella co-chairs the Acquisitions of Public Companies subcommittee meeting, where Melissa DiVincenzo will speak on section 203 developments.
On Thursday, Morris Nichols partner Jeff Wolters speaks on the PEVC committee panel “Conflicts of Interest in VC and PE Transactions: When They Arise and What to Do.”
