UT Law's 7th Annual Mergers and Acquisitions Institute

Patricia O. Vella will serve as a faculty panelist at The University of Texas School of Law 7th Annual Mergers and Acquisitions Institute in Dallas, Texas, on Oct. 20, 2011.

The program titled “Contractual Limitations on Seller Liability in M&A Agreements” will cover recent case law and practitioner perspectives on how to limit contractual and extra-contractual liabilities in M&A transactions, with a focus on sources of extra-contractual liabilities, how to protect parties and their affiliates through the auction and negotiating processes and through exclusive remedy and extra-contractual representation waiver provisions, and related ethical issues in the contracting process.

Tricia will be joined by Glenn D. West of Weil, Gotshal & Manges LLP and Byron F. Egan of Jackson Walker L.L.P.
