PLI’s Mergers & Acquisitions 2016: Trends and Developments
The Practising Law Institute hosts a two-day conference on M&A trends and developments from January 14-15, 2016 in New York City. Panels of top industry professionals will discuss developments and highlight specific issues through a mock board meeting and mock negotiation of select provisions in a merger agreement.
On January 15, Morris Nichols partner Patricia Vella participates in the panel, “Negotiating the Public Company Merger Agreement.” Tricia and co-panelists Joel I. Greenberg (Kaye Scholer LLP) and Steven M. Haas (Hunton & Williams LLP) will discuss issues relating to key aspects of public company merger agreements including:
- Tailoring the agreement to fit the deal
- Latest regulatory covenant trends
- Deal protections: termination fees, no-shop and “go shop” provisions, matching and topping provisions, and stockholder “lock-ups”
- Closing conditions, including appraisal conditions and MAC clauses
Their discussion will be followed by a mock negotiation of regulatory and deal protection provisions.
