Strafford Webinar: M&A Agreements: Limitations on Contractual and Extra-Contractual Liabilities 2013
Patricia O. Vella, Morris Nichols Delaware Corporate Law Counseling Group partner, will serve as a speaker for the Strafford Webinar/Teleconference panel entitled, M&A Agreements: Limitations on Contractual and Extra-Contractual Liabilities, to be broadcast on Tuesday, December 10, 2013, 1:00 - 2:30 p.m. EST.
This 90-minute CLE program will prepare deal counsel to craft contract language to maximize the seller's likelihood of enforcement of the exclusive remedy provision in the contract, minimizing risk to the seller of contractual and extra-contractual post-closing liability in mergers and acquisitions. The panel will discuss how courts have analyzed different limitation on liability provisions and how the provisions affect buyers and sellers.
