ICLEGA Negotiated Corporate Acquisitions 2016

The Institute of Continuing Legal Education in Georgia hosts a day-long CLE program on Negotiated Corporate Acquisitions in Atlanta on February 25, 2016.

Morris Nichols partner Andy Johnston will speak in the afternoon session, “Role Playing - Advising the Board of Directors of a Public Company in Connection with a Possible Sale of the Company.” Panelists will discuss confidentiality/exclusivity agreements, letters of intent, timing of disclosure, stock vs. cash transactions, change of control transactions, role of investment bankers, special committee, market checks/go-to shops, protecting the deal, fiduciary-outs, golden parachutes, role and duty of directors and recent developments.
