Venture Backed M&A: Special Considerations

Morris Nichols partner Melissa DiVincenzo will serve as a panelist in the webinar “Venture Backed M&A: Special Considerations” hosted by the American Bar Association on February 9, 2017 from 1:00 p.m. to 2:30 p.m. ET.

The program will discuss critical and complex issues that commonly arise in acquisitions of venture-backed companies. Topics will include complex waterfalls, the blurring of management incentives with purchase price, disproportionate allocation of indemnity risk among stockholders/stakeholders, dealing with equity incentives, and fiduciary duties of VC BOD nominees.
