2019 LLC Institute

The American Bar Association’s LLCs, Partnerships and Unincorporated Entities Committee presents the 2019 LLC Institute from November 7 to 8, 2019 in Tampa, Fla. Morris Nichols attorneys Lou Hering and Tarik Haskins will speak at the two-day program.

Lou will speak in the “Delaware Case Law Update,” exploring recent LLC and partnership cases from Delaware, including cases concerning fiduciary duties, the implied covenant, dissolution, application of the void and voidable doctrine and cases illustrating issues arising in drafting operating agreements.

Tarik speaks on “Developments in Series LLC’s, Divisions and Other Organic Transactions,” examining recent amendments to the Delaware LLC Act regarding series LLCs. Panelists will discuss issues confronted by practitioners in using series LLCs and tips for drafting provisions.
