2021 LLC Institute

The American Bar Association hosts its annual LLC Institute from November 15 to 19, 2021. The week-long virtual conference will bring together experts in the field of LLC, Partnerships and Unincorporated Law for programming developed by practice area experts.

Lou Hering will co-present the “Delaware Case Law” session. The program will explore recent LLC, partnership and statutory trust cases from Delaware, including cases dealing with:

• fiduciary duties
• rights of first refusal
• dissolution
• buyout provisions
• bad faith and the implied covenant
• governance and removal, and formation.
