2012 ABA Business Law Section Spring Meeting
Rick Alexander, Morris Nichols corporate law and M&A partner, will serve as program moderator, and Patricia O. Vella, Morris Nichols Delaware Corporate Law Counseling Group Special Counsel, will serve as a panelist, for the session entitled The Ins and Outs of Topping Bids: Maneuvering Through Deal Protection Terms,at the ABA Business Law Section Spring Meeting in Las Vegas, Nevada, March 22-24, 2012.
Joining Rick and Patricia are the Honorable Myron T. Steele, Chief Justice, Delaware Supreme Court, James C. Melville from Kaplan, Strangis & Kaplan, P.A. and Albert Garner from Lazard Ltd.
The panelists will discuss recent jumping bidder activity and will analyze the potential liability that could arise from a jumping bidder scenario as reflected in several decisions from the Delaware Court of Chancery and other courts. The panelists will also analyze various provisions of the Merger and Acquisition Committee’s Model Merger Agreement for the Acquisition of a Public Company from the viewpoint of the target, the initial buyer and the jumping bidder with an eye to limiting potential liability for each party.
